Terms of Service

LifePath is not a medical service, and it is not for emergencies

LifePath helps you organize and coordinate care. It does not provide medical advice, diagnosis, or treatment, and it is not a substitute for the judgment of a qualified healthcare professional. Always talk to a clinician about medical decisions.

If you think you or someone else may be having a medical emergency, call 911 or your local emergency number right away. Do not rely on LifePath in an emergency.

These Terms of Service ("Terms") are an agreement between you and QuesGen Systems, Inc. ("LifePath," "we," "our," or "us") for your use of the LifePath website, application, and related services (the "Service"). Please read them carefully. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

LifePath is in beta

The Service is currently offered as a beta. That means it is usable but still being developed and tested. You may encounter bugs, interruptions, or features that change or are removed. We recommend keeping your own copies of important information. We provide the Service during beta on an "as is" and "as available" basis, as described in Section 14.

1. Accepting these Terms and eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you confirm that you meet these requirements and that the information you give us is accurate. If you use the Service on behalf of a household or organization, you confirm that you are authorized to accept these Terms for it.

2. The Service and beta status

LifePath helps you coordinate care for the people you love by keeping medications, appointments, care team contacts, care history, wellness check ins, and symptoms in one place, with optional help from an AI Companion. We may add, change, or remove features at any time. During beta in particular, the Service may change frequently and may be interrupted, and features may not work as expected.

3. Not medical advice; emergencies

The Service, including reminders, drug interaction flags, summaries, and AI Companion responses, is for informational and organizational purposes only. It is not medical advice, diagnosis, or treatment, and it is not a substitute for professional care. Do not start, stop, or change any treatment based on the Service without consulting a qualified healthcare professional.

Interaction checks and reminders may be incomplete or inaccurate and should never be relied on as the only source of safety information. In an emergency, call 911 or your local emergency number.

4. Your account

You are responsible for your account and for keeping your password confidential. You are responsible for activity that happens under your account. Tell us promptly at support@quesgen.com if you suspect unauthorized use or any security issue. We may suspend or limit access if we reasonably believe your account is being misused or poses a security risk.

5. Care profiles, circles, and roles

The Service is organized around care profiles. Each profile has its own circle of people, set up independently from any other profile.

  • Owner. The person who creates a profile is its Owner. The Owner manages billing for that profile and controls who has access.
  • Helpers. People the Owner invites join free, with the access level the Owner assigns.
  • Member. If the person the profile is about wishes to manage it themselves, they can take as much or as little control as they want.

Access to one profile does not grant access to any other profile. You are responsible for choosing who you invite and what access you give them.

6. Your content and data

You own the information you enter into the Service ("Your Content"). We do not claim ownership of it.

You grant us a limited license to host, store, process, and display Your Content only as needed to provide and support the Service to you and your circle, and to do so consistent with our Privacy Policy. You are responsible for the accuracy, quality, and legality of Your Content. We are not responsible for decisions made based on Your Content, and we are not obligated to verify it.

You can export and delete Your Content as described in Section 13.

7. Information about other people

If you enter information about another person, including the person you are caring for or others in a circle, you confirm that you have the authority or permission to provide it and to let us process it to provide the Service. Where appropriate, you agree to inform that person that their information is kept in LifePath. You are responsible for how you use information that others share with you through the Service.

8. The AI Companion

The AI Companion provides summaries, reminders, and possible patterns drawn from a care profile. It runs on a self hosted model, and your health information is not sent to third party AI providers or used to train external models, as described in the Privacy Policy.

AI output can be inaccurate, incomplete, or out of date. It is informational only, it is not medical advice, and it does not replace professional judgment. Always confirm anything important with a qualified professional. You are responsible for how you use AI output.

9. Acceptable use

You agree not to:

  • use the Service to violate any law or the rights of others, or to store or send unlawful, infringing, threatening, or obscene material;
  • upload viruses, malware, or other harmful code;
  • interfere with or disrupt the Service or attempt to gain unauthorized access to it or to other accounts or systems;
  • resell, sublicense, or commercially exploit the Service except as we expressly allow;
  • copy, reverse engineer, or create derivative works from the Service, except to the extent the law permits despite this restriction; or
  • use the Service to build a competing product or to copy its features.

10. Subscriptions, billing, and renewal

Beta pricing. [STATE CURRENT BETA PRICING. If the Service is free during beta, say so, and state that paid plans begin at general availability with notice.]

Plans. When paid plans apply, you pay per care profile. The first profile and each additional profile are billed at the rates shown at sign up. Helpers you invite are free.

Automatic renewal and cancellation (please read). Paid subscriptions are billed on a recurring basis, for example monthly, and renew automatically at the then current price until you cancel. We will obtain your affirmative consent to the recurring charge before billing you, send any reminders required by law, and let you cancel easily online at any time through your account settings, with the cancellation taking effect at the end of the current billing period. If you signed up for a free trial or promotional rate, the terms and the price after it ends will be disclosed at sign up. This Section is intended to comply with the California Automatic Renewal Law and similar laws. [CONFIRM RENEWAL CADENCE, REMINDER, AND CANCELLATION FLOW.]

Payment. You authorize us and our payment processor to charge your payment method for amounts due. If a charge fails, we may retry or suspend paid features.

Price changes. We may change prices on a going forward basis with advance notice to you. If you do not agree to a change, you may cancel before it takes effect.

Taxes. Prices do not include taxes, and you are responsible for any taxes other than those based on our income.

11. Intellectual property

We and our licensors own the Service, including its software, design, and content we provide, and all related intellectual property rights. These Terms grant you a personal, limited, non exclusive, non transferable license to use the Service while these Terms are in effect. The names "LifePath," "QuesGen," and our logos are our trademarks, and these Terms do not grant you a right to use them. If you give us feedback or suggestions, we may use them without obligation to you.

12. Third party services

The Service may link to or work with third party services, such as a payment processor. We do not control those services and are not responsible for them. Your use of them is governed by their own terms and privacy policies.

13. Term, cancellation, and your data

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if needed to protect the Service or other users, or if we stop offering the Service.

You can export Your Content from the Service before closing your account. After your account is closed, we will delete or de identify Your Content as described in the Privacy Policy, except where we must keep certain records to comply with law. We are not liable for content lost after deletion in the ordinary course.

14. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis, and even more so during beta. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the Service will be uninterrupted, error free, secure, or that interaction checks, reminders, or AI output will be accurate, complete, or current. You use the Service at your own discretion and risk.

15. Limitation of liability

To the maximum extent permitted by law, we and our licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of or inability to use the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred United States dollars. Some jurisdictions do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

16. Indemnification

You agree to indemnify and hold harmless LifePath and QuesGen Systems, Inc., and their officers, directors, employees, and agents, from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms, or your violation of the rights of any other person, including your authority to enter information about others.

17. Governing law and disputes

These Terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict of laws rules. Subject to any choice made below, you and we agree that the state and federal courts located in San Francisco, California have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there.

Option A, courts only. Disputes will be resolved in the courts described above. (This matches the current QuesGen approach.)

Option B, binding arbitration. You and we agree to resolve disputes through binding individual arbitration rather than in court, and to waive class actions, subject to a small claims carve out and an opt out window. [If chosen, counsel should draft the full arbitration and class action waiver provision, which carries specific notice and formatting requirements.]

18. Changes to these Terms

We may update these Terms from time to time. When changes are material, we will update the date above and provide notice as appropriate. Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree, stop using the Service.

19. General terms

These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any earlier agreements on the subject, unless you have a separate signed agreement with us. If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision will be applied as closely as possible to its intent. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, and we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, employment, or agency relationship between us. We are not liable for delays or failures caused by events beyond our reasonable control.
